Borrow Terms

These Borrow Terms ("Borrow Terms") govern your access to and use of any borrowing, credit, leverage, margin-style functionality, or liquidity advance features made available through Cain Finance (the "Borrow Services"). By accessing or using the Borrow Services, you agree to be legally bound by these Borrow Terms. If you do not agree, you must not use the Borrow Services.

1. Introduction

These Borrow Terms govern your access to and use of any borrowing, credit, leverage, margin-style functionality, or liquidity advance features made available through Cain Finance (the "Borrow Services"). By accessing or using the Borrow Services, you agree to be legally bound by these Borrow Terms.

2. Nature of Borrow Services

Cain Finance provides non-custodial software interfaces that allow users to interact with decentralized finance (DeFi) protocols and liquidity systems that may enable overcollateralized borrowing or credit-like functionality.

Cain Finance does not itself issue loans, act as a lender, or extend credit. All borrowing activity occurs through blockchain-based smart contracts and/or third-party decentralized protocols.

3. No Custody or Credit Relationship

Any borrowing executed through the Platform is strictly between the user and the underlying protocol(s). Cain Finance is not a party to any loan agreement formed on-chain.

4. Collateral Requirements

Borrowing activity may require the provision of digital assets as collateral within third-party smart contracts or liquidity systems. Users acknowledge that:

Failure to maintain required collateral levels may result in partial or full liquidation by third-party protocols.

Users expressly acknowledge that liquidation may occur automatically and without prior notice when collateral thresholds are breached. Liquidation outcomes are determined by third-party protocols and market conditions, and may include:

Cain Finance does not control liquidation timing, pricing, or execution.

6. Interest, Fees, and Costs

Borrowing activity may involve variable interest rates, protocol fees, and network transaction costs. All rates and fees are determined by underlying third-party protocols and may change at any time without notice. Cain Finance does not guarantee or control any interest rate, APR, or borrowing cost displayed on the Platform.

Users acknowledge that digital asset markets are highly volatile and that borrowing amplifies exposure to price movements. Risks include:

8. Third-Party Protocol Dependency

Borrow Services rely on decentralized protocols and external liquidity infrastructure. Cain Finance has no control over smart contract performance or security, oracle accuracy or pricing feeds, protocol governance decisions or upgrades, or network congestion or failures. All interactions with third-party systems are at the user's sole risk.

9. No Guarantee of Borrowing Access

Cain Finance does not guarantee availability of borrowing capacity, stability of collateral ratios, execution of borrow or repay transactions, or continued access to any lending protocol. Borrowing functionality may be modified, restricted, or removed at any time.

10. Assumption of Risk

By using Borrow Services, you acknowledge and agree that you understand the risks of leveraged and collateralized positions, you may lose part or all of your collateral, you are solely responsible for managing your positions, and you accept that liquidation may occur without warning.

11. No Warranties

The Borrow Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, including accuracy of borrowing rates, stability of collateral values, continuous availability of lending markets, or fitness for a particular financial purpose.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Cain Finance and its affiliates, contributors, developers, and partners shall not be liable for any losses arising from use of Borrow Services, liquidation events triggered by third-party protocols, smart contract failures or exploits, market volatility or collateral depreciation, or errors in pricing or oracle data.

Cain Finance's total liability, if any, shall not exceed fees paid by the user to Cain Finance in the 12 months preceding the claim, or £0 where no fees have been paid. Nothing in these Borrow Terms excludes liability for fraud or gross negligence where such exclusion is not permitted by law.

13. No Financial Advice

Nothing in the Borrow Services constitutes financial, investment, legal, or tax advice. You are solely responsible for your borrowing decisions.

14. Termination and Modification

Cain Finance may suspend, restrict, or terminate access to Borrow Services at any time without notice. These Borrow Terms may be updated at any time. Continued use constitutes acceptance of changes.

15. Indemnification

You agree to indemnify and hold harmless Cain Finance from any claims, losses, or liabilities arising from your use of Borrow Services or breach of these Terms.

16. Governing Law

These Borrow Terms shall be governed by the jurisdiction in which Cain Finance is operated or incorporated, as determined by Cain Finance from time to time.

Important Notice
